Terms & Conditions

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Kornex Technologies LLP ("KornexAI," "we," "us," or "our") governing your access to and use of the KornexAI platform, website, and all associated services (collectively, the "Services"). By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" and "your" will refer to that organization. If you do not have such authority, or if you do not agree to these Terms, you must not access or use the Services. We recommend that you print or save a copy of these Terms for your records.

These Terms are supplemented by our Privacy Policy and Cookie Policy, which are incorporated by reference. In the event of any conflict between these Terms and the Privacy Policy, these Terms shall prevail with respect to the subject matter hereof.

To access certain features of our Services, you must create an account. When registering, you agree to provide accurate, current, and complete information and to keep this information up to date. You are responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account.

You must be at least 18 years of age (or the age of majority in your jurisdiction) to create an account and use our Services. By creating an account, you represent and warrant that you meet this age requirement. If we discover that you have provided false or misleading information during registration, we reserve the right to suspend or terminate your account without prior notice.

You may not create multiple accounts for the purpose of abusing promotional offers, circumventing usage limits, or engaging in any other prohibited activity. Each individual or organization is limited to one account unless we provide explicit written permission otherwise. You must notify us immediately of any unauthorized use of your account or any other breach of security.

As a user of our Services, you acknowledge that you bear sole responsibility for the content you submit to the platform and the outputs generated from that content. You agree to use the Services only for lawful purposes and in compliance with all applicable local, state, national, and international laws and regulations.

You are responsible for reviewing all AI-generated outputs for accuracy, completeness, and appropriateness before relying on or distributing such outputs. KornexAI does not guarantee the accuracy, reliability, or completeness of any AI-generated content, and you should not treat such content as professional advice of any kind, including but not limited to legal, medical, financial, or technical advice.

You agree not to attempt to reverse engineer, decompile, disassemble, or otherwise seek to obtain the source code of our platform or the underlying AI models. You further agree not to use automated means, including bots, scrapers, or other automated tools, to access our Services or extract data from our platform without our prior written consent.

You are responsible for maintaining adequate security measures for any sensitive or confidential information you choose to input into our Services. You should not share proprietary, trade secret, or personally identifiable information of third parties without proper authorization.

Certain features of our Services require a paid subscription. By subscribing to a paid plan, you agree to pay the applicable subscription fees as described on our pricing page at the time of purchase. All fees are quoted in US Dollars and are exclusive of applicable taxes, unless otherwise stated. We reserve the right to change our pricing at any time, with at least 30 days' advance notice to existing subscribers.

Subscriptions are billed on a recurring basis (monthly or annually) and will automatically renew at the end of each billing period unless you cancel your subscription before the renewal date. You can manage your subscription and billing preferences through your account settings. Cancellation takes effect at the end of the current billing period, and you will retain access to your subscription features until that date.

We offer a refund policy for new subscribers. If you are dissatisfied with our Services within the first 14 days of your initial paid subscription, you may request a full refund by contacting our support team. After the 14-day period, refunds are issued at our sole discretion. We reserve the right to suspend or terminate your access to paid features if payment is declined or not received.

The Services and all associated content, features, and functionality — including but not limited to the KornexAI platform, website design, text, graphics, logos, icons, images, audio clips, software, and the compilation thereof — are the exclusive property of Kornex Technologies LLP or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws.

Subject to your compliance with these Terms and your payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal or internal business purposes. This license does not include the right to modify, reproduce, distribute, or create derivative works based on any part of the Services without our prior written consent.

You retain ownership of all content you submit to the Services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, process, and store your content solely for the purpose of providing and improving the Services. AI-generated outputs are provided to you with a non-exclusive license to use such outputs for any lawful purpose.

The KornexAI name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Kornex Technologies LLP or its affiliates. You may not use these marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.

You agree not to use the Services in any way that violates any applicable federal, state, local, or international law or regulation. This includes, but is not limited to, using the Services to generate, promote, or distribute content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.

You may not use the Services to generate deepfakes, misleading content, or disinformation; to impersonate any person or entity or falsely represent your affiliation with any person or entity; to engage in spamming, phishing, or other unsolicited communications; to distribute malware, ransomware, or other malicious software; or to interfere with or disrupt the integrity or performance of the Services or the data contained therein.

You may not attempt to gain unauthorized access to any portion of the Services, other accounts, computer systems, or networks connected to the Services through hacking, password mining, or any other means. You may not probe, scan, or test the vulnerability of any system or network or breach any security or authentication measures. Any violation of this Acceptable Use Policy may result in immediate suspension or termination of your account.

We strive to provide continuous, uninterrupted access to our Services, but we do not guarantee that the Services will be available at all times or error-free. The Services may be unavailable due to maintenance, updates, system failures, or other causes beyond our reasonable control. We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.

We will make reasonable efforts to provide advance notice of planned maintenance or service interruptions. However, we shall not be liable for any loss, damage, or inconvenience caused by any interruption or suspension of the Services. We maintain a status page at kornexai.com/status where you can check the current operational status of our Services.

We may impose limits on certain features and services or restrict your access to parts of or all of the Services without notice or liability. Usage limits are designed to ensure fair access for all users and protect the stability of our platform. We reserve the right to adjust these limits at any time based on system capacity and operational requirements.

You may terminate your account at any time by accessing your account settings and selecting the option to delete your account, or by contacting our support team. Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination will remain in effect.

We reserve the right to suspend or terminate your account, at our sole discretion, without prior notice, if we believe that you have violated any provision of these Terms, engaged in conduct that we determine to be inappropriate or harmful to other users, the platform, or third parties, or for any other reason we deem appropriate. In such cases, we are not liable for any loss or damage resulting from the suspension or termination of your account.

Upon account termination, we will process the deletion of your personal information in accordance with our Privacy Policy. Any prepaid subscription fees for the current billing period will not be refunded upon termination for violation of these Terms. You are responsible for exporting any data or content you wish to retain before terminating your account.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KORNEXAI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE SERVICES EXCEED THE AMOUNT PAID BY YOU TO KORNEXAI DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS, THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY DEFECTS IN THE SERVICES WILL BE CORRECTED.

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the federal or state courts located in San Francisco County, California, and you consent to the personal jurisdiction of such courts.

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms, and the remaining provisions shall continue in full force and effect. The failure of KornexAI to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

You agree that any claim or cause of action arising out of or related to these Terms or the Services must be filed within one (1) year after such claim or cause of action arose, or be forever barred. Any waiver of any provision of these Terms will be effective only if in writing and signed by KornexAI.
